These terms and conditions permit you to use the Site for your personal, non-commercial use only, unless otherwise permitted via a written agreement between you and ZipID, Inc. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials, and completing authorized transactions.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

If you violate any of these terms and conditions, your right to use the Site will stop immediately, and you must, at our option, return or destroy any copies of the materials you have made and cease all use of the Site and applications. TRADEMARKS– ZIPID, Inc.®, the ZIPID, Inc. logo and all related names, logos, product and service names, designs, and slogans (collectively, “Brand Assets”) are marks of ZipID, Inc. You must not use the Brand Assets without the prior written permission of ZipID, Inc., and any such use of the Brand Assets must comply with the Proper Use Guidelines provided found here.

THIRD-PARTY INTELLECTUAL PROPERTY– To the extent that any third-party marks, logos, content, or other intellectual property are used on this Site, you are not granted any rights in or to such intellectual property by accessing or using the Site.

COPYRIGHT INFRINGEMENT CLAIMS– If you are a copyright owner or an agent thereof and believe that any content on the Site infringes upon your copyrights, you may submit a copyright infringement notification to our copyright agent pursuant to the Digital Millennium Copyright Act, by sending the notification to the following email address: info@zipidapp.com, with the subject line, Attn: Director of Legal and Compliance.

You are prohibited from using any automated system or software to extract or scrape data from the websites or other interfaces through which we make our Site available, unless authorized in writing by ZipID, Inc.

DATA USAGE– ZipID, Inc.’s Site and/or mobile application(s) may include products and services that are available via a mobile device. To the extent you access ZipID, Inc.’s products and services through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. Additionally, downloading, installing or using certain products or services may be prohibited by your carrier, and not all products and services may work with all carriers or devices.

THIRD PARTY INFORMATION– While ZipID, Inc. makes every effort to insure the accuracy of all information on the Site, ZipID, Inc. makes no warranty either written or implied as to the accuracy of any such information.

LINKS TO THIRD PARTY SITES– The Site may contain links that will let you access other Web sites that are not under the control of ZipID, Inc.. The links are only provided as a convenience and ZipID, Inc. does not endorse any of these sites. SECURITY– Data transmitted and at rest to and from ZipID, Inc. client sites is encrypted for the user’s protection. However, the security of information transmitted through the Internet can never be guaranteed. ZipID, Inc. is not responsible for any interception or interruption of any communications through the Internet or for changes to or losses of data. You are responsible for maintaining the security of any password, user ID, or other form of authentication involved in obtaining access to password protected or secure areas of the Site. In order to protect you and your data, ZipID, Inc. may suspend your use of our site, without notice, pending an investigation, if any breach of security is suspected.

TRANSMISSION OF PERSONAL DATA– You acknowledge and agree that by providing ZipID, Inc. with any personal information through the Site, you consent to the transmission of such personal user information as necessary for processing in accordance with our standard business practices and privacy policy.

ACCESS TO PASSWORD PROTECTED/SECURE AREAS– Access to and use of password protected and/or secure areas of the Site is restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution.

JURISDICTION/GOVERNING LAW– These terms and conditions shall be governed and construed in accordance with the laws of the Commonwealth of Virginia, USA, and applicable federal laws without regard to conflicts of law principles. You agree that any and all proceedings relating to this Site and the subject matter contained herein shall be maintained in arbitration within the court system of the Commonwealth of Virginia or the federal district courts sitting in Virginia, which courts shall have exclusive jurisdiction for such purpose.

SOCIAL CONTENT– ZipID, Inc. uses various social channels as a way for the company and its audience to start conversations, share experiences and form new communities. ZipID, Inc. strives to maintain a positive experience for all users on these channels. Accordingly, ZipID, Inc. prohibits content that ZipID, Inc., in its sole discretion, considers illegal, obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable. ZipID, Inc. may, but has no obligation to, review the content placed on its social channels. In the event ZipID, Inc. discovers content that, in its sole discretion, it deems a violation of these terms and conditions or that is otherwise illegal, ZipID, Inc. may, but has no obligation to, take action, including restricting access to the content, removing the content, and limiting or terminating a user’s access.

SMS– As part of ZipID, Inc.’s services, we may send you certain messages via SMS. These messages are sent for access or security purposes (such as dual factor authentication or resetting your password) or related to our Form I-9 software service. These messages are only for the purpose of completing enabling registration or resetting of a password.

Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

• Your Contributions do not include any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.

• Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

You and Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).

By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

When posting a review, you must comply with the following criteria: (1) you should have firsthand experience with the person/entity being reviewed; (2) your reviews should reflect certain cognitive diversity of opinion, be robust, fair, constructive, and, where applicable, maintain a respectful decorum. These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal and injunctive redress.

If you terminate your account for any reason, it must be received in writing. We will retain data under its data retention policy for 30 days. If no request to transfer data is received within 30 days, data will be purged. If we receive a written request to return data within 30 days, the data to be returned must clarified. In such instance, data will be delivered within 14 days of the date of request as either a CSV or pdf. Requests to return data will be a separate transaction for which additional charges will be incurred.

We reserve the right to change, modify, or remove the contents of the Services at any time for any reason at our sole discretion without notice. However, we have no obligation to update any information in our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuous of Services.

Our goal is to be available 99 percent of the time. However, we may experience hardware, software, or other problems or need to perform maintenance related to Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or supply any corrections, updates, or releases in connection therewith.

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Virginia applicable to agreements made and to be entirely performed within the Commonwealth of Virginia, without regard to its conflict of law principles.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information if we deem it necessary at any time without prior notice.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. CERTAIN STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; (5) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at our expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

We will maintain certain data that you transmit to the Services for the purpose of compliance with federal law, managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

Specifically, ZipID will make available all Form I-9 transaction data for 30 days from completion of the Form I-9 by the employer. Thereafter, it will be retained as required by law (up to 3 years) near line or off line. Requests for data after 30 days will require a direct request by the employer, which will be a separate transaction for which additional charges will be incurred.

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communications be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED VIA THE SERVICES OR SERVICES OFFERED BY THIRD PARTIES. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed via the services or services offered by third parties.
